Welcome to Strauss Group Ltd. and/or its subsidiaries’ website (hereinafter: “Strauss” and the “Website” and/or “Site”, respectively). By using the Website, including its content and services, you agree to comply with these Terms of Use (hereinafter: “Terms of Use”) and any additional terms and conditions, including the Privacy Policy and other instructions that may appear during your use of the Site (hereinafter: the “Binding Documents”). The Binding Documents apply to your use of the Site and its content via any computer or other communication device (e.g., mobile phone, tablet, etc.). Additionally, the Binding Documents apply to the use of the Site on the Internet or through any other communication medium.

Please review the Binding Documents carefully. Strauss reserves the right to modify these documents from time to time, in its exclusive discretion and without prior notice. Any changes made to the Binding Documents shall be binding upon you, and it is your responsibility to stay informed of any updates.

The Website is intended for users who are at least 18 years old. Users under the age of 18 may use the Website only with the consent of a parent or guardian. Strauss reserves the right to restrict access to the Website for users who do not meet the age requirements.

Use of the Site

The Site is for informational purposes only, and provides information and content regarding Strauss’s activities and products. The Site also includes a Job section and a Customer Services contact option. The Website is not intended for the online sale of products or services. Use of the Site does not involve payment.

You may use the contents featured on the Website in accordance with the following guidelines:

1. The Site may be used solely for personal, non-commercial purposes.
2. The following actions are absolutely prohibited:

• Copying, modifying, distributing, or using any content from the Site without prior written permission from Strauss
• Using Site content for commercial or advertising purposes
• Transferring Site content to third parties in any form or manner
• Displaying Site content on other websites, in electronic publications or printed materials

The use of dedicated Strauss apps, including those on the Facebook platform, is subject to the terms of use of those platforms (including their privacy policies and any other binding terms and conditions), in addition to these Terms of Use.

Strauss reserves the right to block access to users who violate the Terms of Use, to remove any content that breaches the Terms of Use, and to take legal action against parties who infringe upon these Terms of Use.

User Content

When using the Site, you are required to ensure that all content you upload is legal. Among other things and by way of example only, sending or sharing the following content or content of a similar nature is prohibited:

• Any content you know to be inaccurate, misleading or false;
• Any content that harms or infringes on the proprietary rights of others, including copyrights, trademarks, and the right to privacy;
• Any pornographic content or content of an explicitly sexual nature;
• Any contact that relates to minors and identifies them, including personal details, addresses, and contact information;
• Slogans, usernames, and other details that enable the use of computer software, digital files, websites or services that require registration or payment, without such registration or payment;
• Any content that constitutes defamation or infringes on an individual’s privacy or reputation;
• Any content that is harassing, offensive, hostile, threatening, or vulgar;
• Any content that promotes or encourages racism, or improper discrimination based on race, origin, color, ethnic group, nationality, religion, gender, occupation, sexual orientation, illness, physical or mental disability, faith, political views, or socioeconomic status;
• Any content that encourages the commission of a criminal offense or that could lead to legal action or civil liability;
• Any content that could mislead consumers;
• Any content of an advertising or commercial nature that is unrelated to Strauss and/or its products;
• Any content that is password-protected or otherwise restricted, and is not freely accessible to all Internet users.

Strauss may, in its sole discretion, refuse to publish or may immediately delete, at any time, any content you have posted if you have breached the terms and conditions of use or if your actions or omissions have harmed, or are likely to harm, the services provided on the Site, its users, Strauss, and/or any party acting on its behalf. These rights are in addition to any legal remedies Strauss may have under applicable law.

Intellectual Property

All copyrights and intellectual property rights related to the Site and it content, including but not limited to texts, photographs, illustrations, video, audio, graphics, logos, trademarks (both registered and unregistered), trade names, databases, computer code, user interfaces, Site design, technical information, recipes, work methods, processes, algorithms, and any other material on the Site – are the exclusive property of Strauss Group or third parties which have granted Strauss a license to use them.

You are prohibited from copying, altering, publishing, distributing, publicly displaying, publicly performing, broadcasting, transferring or making available to the public, processing, creating derivative works, selling, or leasing any part of the foregoing, either yourself and/or through or in collaboration with a third party, in any manner or by any means – whether electronic, computerized, mechanical, optical, photographic or recording, or any other manner and/or means – without prior written consent from Strauss.

By submitting content to Strauss via the Site, you represent and warrant that you are the owner of all rights in and to said content, or have received legal permission from the rights owner allowing you to submit said content through the Site and grant the right to make use thereof, as specified in the Terms of Use. Strauss may, but is not under obligation to, make use of content you have submitted, in its exclusive discretion. By uploading content to the Site, you grant Strauss an irrevocable, perpetual, royalty-free license to use such content for any purpose, including replication, modification, distribution, publication, and the creation of derivative works. You hereby waive any moral or other right associated with the content you have submitted. You are fully and exclusively responsible for any content you have uploaded or submitted to the Site, and undertake to indemnify Strauss for any damages, expenses and/or losses incurred by Strauss and/or any party on its behalf as a result of any breach of your undertakings or warranties under this section. Strauss assumes no liability for user-submitted content or for any use made of such content.

Privacy

Strauss respects the privacy of users of the Site. The use of any personal information collected in connection with your use of the Site is governed by Strauss’s Privacy Policy, which forms an integral part of these Terms of Use. The Privacy Policy describes the manner in which we collect, use, transfer, and protect your personal information. We recommend that you read the complete Privacy Policy before using the Site.

Liability and Indemnity

The information provided on this Site is offered “AS IS”. You are solely and fully responsible for your use of the information and the Site.

While Strauss makes reasonable efforts to ensure the accuracy and timeliness of the information displayed on the Site, it assumes no responsibility for any decisions or actions taken based on the information provided. You shall have no arguments, claims or demands against Strauss with respect to the information displayed on the Site, its features, accuracy, or suitability for your needs.

Strauss shall not be held liable for any direct or indirect damages arising from malfunctions or failures in the availability of the Site or the information presented on the Site.

The Site may contain links to third-party websites and content. These links are offered for your convenience only. Strauss does not control these sites and their content and is not responsible for their availability, content, trustworthiness, legality, or any other aspect pertaining thereto. You agree to indemnify and hold harmless Strauss, its employees, executives, partners, and any party acting on its behalf for any damage, loss, lost profit, payment or expense they may be caused, directly or indirectly, including attorney’s fees and court costs, as a result of your breach of the Terms of Use or any other act or omission on your part.

Changes in the Site and Site Availability

Strauss makes no guarantees that the Site’s services shall not be disrupted, shall be provided without fault and without interruption, shall be reliable and error-free, and shall be immune to unauthorized access to Strauss’s computers or to damage, breakdowns, malfunctions, or failures. This includes hardware, software, communication lines, and systems at Strauss’s premises or those of any of its suppliers.

Strauss may discontinue the operation of the Site at any time, or modify its content, appearance and design, the scope and availability of the services offered, from time to time, and may modify any other aspect of the Site, all of the foregoing without prior notice.

If any provision or part of a provision of these Terms of Use is found to be unlawful, void, or unenforceable for any reason, the validity and enforceability of the remaining provisions will not be affected.

Jurisdiction

These Terms of Use and the Binding Documents are exclusively governed by the laws of the State of Israel. Exclusive jurisdiction with respect to any matter related to the use of the Site and/or the Terms of Use and/or the Binding Documents shall be exclusively vested in the competent courts in the districts of Tel Aviv-Jaffa and Central Israel.

These Terms of Use are presented in Hebrew and may be translated into other languages. In any case of inconsistency, contradiction, or discrepancy between the Hebrew version and the translated versions in other languages, the Hebrew version shall prevail and is the binding version for all purposes.
